Terms of Service

1. Acceptance of Terms

By accessing or using the NeuralBuilt website at neuralbuilt.ai (the “Site”) and any related services, including the NeuralBuilt Community membership (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. By creating an account, you represent that you meet these requirements.

3. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your password and account.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Billing and Payment

• All payments are processed securely by Stripe. We do not store your credit card details.
• Subscriptions are billed monthly on the anniversary of your sign-up date.
• All prices are in US Dollars (USD) and do not include applicable taxes.
• You authorize us to charge your payment method on a recurring basis until you cancel.
• Failed payments may result in suspension of your membership. We will attempt to notify you before suspending access.

6. Cancellation

• You may cancel your subscription at any time from your dashboard or by contacting us.
• Cancellation takes effect at the end of your current billing period. You retain access until then.
• No partial refunds are given for unused portions of a billing period.
• Founding Member Notice: If you cancel your Founding Member subscription, your locked price of $149/month is permanently forfeited. If you re-subscribe, the current standard pricing will apply and founding member status cannot be restored.

7. Refunds

Due to the nature of our digital services (immediate access to live sessions, recordings, and community):

• We generally do not offer refunds for subscription payments.
• If you experience a technical issue that prevents you from accessing the Services, contact us within 7 days and we will work with you to resolve it or issue a credit.
• Refund requests are handled on a case-by-case basis at our sole discretion.

8. User Conduct

By using the Services, you agree not to:

• Share your account credentials or membership access with others
• Redistribute, resell, or publicly share recordings, resources, or other member-only content
• Harass, abuse, or intimidate other community members
• Post spam, malicious links, or off-topic promotional content
• Attempt to gain unauthorized access to our systems or other users’ accounts
• Use the Services for any illegal purpose
• Reverse-engineer, decompile, or extract source code from our proprietary systems

Violation of these rules may result in immediate termination of your account without refund.

9. Intellectual Property

9.1 Our Content

All content on the Site and within the Services — including but not limited to text, code, graphics, logos, recordings, presentations, and educational materials — is owned by NeuralBuilt or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Your Use

Your membership grants you a personal, non-exclusive, non-transferable license to access and view the content for your own educational and business purposes. You may implement patterns and techniques learned in the sessions in your own projects. You may not redistribute, resell, or publicly share the raw content (recordings, slides, materials).

9.3 Your Content

If you share content within the community (messages, code snippets, questions), you retain ownership but grant NeuralBuilt a non-exclusive license to use, display, and distribute that content within the context of the Services.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• Any specific business results or outcomes will be achieved
• The content will be accurate, complete, or current at all times
• Defects in the Services will be corrected

11. Limitation of Liability

To the maximum extent permitted by applicable law, NeuralBuilt and its owner, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeuralBuilt and its owner, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

• We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.
• If we terminate your account for a reason other than a Terms violation, we will provide a pro-rated refund for the unused portion of your current billing period.
• If we terminate your account due to a Terms violation, no refund will be issued.
• Upon termination, your right to access the Services ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Indemnification) will survive.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in the State of Colorado, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. For material changes affecting your subscription (such as pricing changes), we will provide at least 30 days’ notice via email. Your continued use of the Services after changes constitutes acceptance.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeuralBuilt regarding the use of the Services and supersede all prior agreements, understandings, and communications.
